Terms of service

Last updated 9 November 2026

1. Agreement

These terms are an agreement between you and the operator of diligly.com (“we”, “us”) for your use of Diligly. By creating an account or opening a link, you agree to them. If you do not agree, please do not use the service.

2. What Diligly is

Diligly lets founders organise company information and documents and share a private, read-only room with people they choose. It is a tool. It is not a marketplace, a broker, an investment platform, or a provider of legal, financial, tax or investment advice, and it does not introduce founders to investors.

3. Your account

You must be at least 18 and able to enter a contract. Give accurate information and keep your sign-in secure. You are responsible for what happens under your account. Tell us promptly if you think someone else has accessed it.

4. Your content

You keep ownership of everything you add. You give us a limited licence to store it, process it and show it to the people you choose, only so we can run the service for you.

You promise that you have the right to upload and share what you add, and that doing so does not break the law, a contract or someone else’s rights.

5. Sharing and confidentiality

You decide who receives a link and what it shows, and you are responsible for expiring or revoking links you no longer want active. Anyone who has a link can open it until it expires or is revoked.

The NDA feature shows an agreement of your choice and records a typed signature. We do not verify who typed it, we do not write or review your agreement, and it is not legal advice. Ask a lawyer if you need one.

6. No verification, no advice

Diligly does not verify metrics, documents, names, emails or claims. Everything in a room is provided by the founder. Anyone who relies on a room should do their own due diligence. Nothing on Diligly is a recommendation or an offer to buy or sell securities.

7. Acceptable use

Do not use Diligly to break the law, to infringe or expose others’ rights, to upload malware or content you are not allowed to share, to mislead people about who you are, to try to reach data that is not yours, or to disrupt the service. We may remove content or suspend access that does this.

8. Plans, billing and cancellation

Free is free. Pro and Studio are paid subscriptions, billed monthly or yearly in US dollars through our payment provider, Polar. Prices on the pricing page apply when you subscribe, and taxes are added where they apply.

Subscriptions renew automatically until you cancel. You can cancel at any time from Billing. Your plan then stays active until the end of the period you paid for, and returns to Free after that.

We may change prices for future periods. We will tell you in advance, and a change will not affect a period you have already paid for.

Refund requests are considered case by case. Contact us, and we will look at what happened. Nothing in these terms limits any refund right you have by law.

9. Plan limits and downgrades

Each plan has limits, such as the number of startups, documents, storage and active links, and some options are only on paid plans. If your plan ends or you move to a lower one, we never delete your data because of it. Anything above the new limits is paused, and it comes back when you upgrade or free up room.

10. Ending your use

You can delete your account at any time from Account settings. We may suspend or end an account that seriously or repeatedly breaks these terms, and we will tell you why where we can. When an account ends, your data is deleted as described in the privacy policy.

11. Availability and changes to the service

We work to keep Diligly available and secure, but we cannot promise it will always be uninterrupted or error-free. We may improve, change or retire features. If we remove something paid for, we will give notice and, where it is fair, a refund for the unused part.

12. Warranties and liability

Diligly is provided “as is”. To the extent the law allows, we do not give implied warranties, and we are not liable for indirect or consequential loss, lost profits, lost deals or lost fundraising opportunities, or for the accuracy of what founders share.

To the extent the law allows, our total liability for any claim is limited to the greater of what you paid us in the 12 months before the claim and 100 US dollars. Nothing in these terms limits liability that cannot be limited by law.

13. Governing law

These terms are governed by the laws of the country where the operator is established, and the courts there will handle disputes, unless the consumer protection law where you live gives you the right to use your local courts.

14. Changes to these terms

If we change these terms in a way that matters, we will update the date above and tell you before it takes effect. If you keep using Diligly after that, you accept the new terms.
